Corporate & Commercial Lawyer – Pharmaceutical Sector Work Modality: 100% On-site, Monday to Friday Profile Overview We are seeking a highly qualified Lawyer specialized in Commercial, Contract, or Corporate Law, preferably with additional studies in Public Law or Government Contracting. The ideal candidate will have experience as an in-house lawyer within the pharmaceutical industry or at a law firm. Key Requirements 6 years of experience. Lawyer with a specialization in commercial, contractual, or corporate law. A specialization in public law or government contracting is desirable. In-house lawyer in pharmaceutical companies would be ideal. Lawyer with experience in law firms. Lawyer with experience in negotiating and drafting different types of commercial and civil contracts, including but not limited to sponsorship agreements, donations, service agreements with healthcare professionals, patient support programs, 3PL, distribution, and commercial agency agreements. Knowledge of corporate matters required for a company: compliance with periodic obligations before the relevant authorities, issuance of powers of attorney, bylaw amendments, and drafting minutes of ordinary and extraordinary meetings of the General Shareholders' Assembly and the Board of Directors. Ideally, experience participating in the implementation of regulations related to personal data protection. Document and contract management. Implementation of contract management tools for tracking contracts and corporate documentation. Review and analysis of contracting processes with public entities. Identification of main risks in tender processes and knowledge of procurement frameworks for hospitals, universities, and mixed‑capital organizations. Ideally, knowledge of regulation in the pharmaceutical industry, and interaction with healthcare organizations, healthcare professionals, and patients. Main Responsibilities Draft, review, and negotiate commercial contracts. Support contract lifecycle management and maintain updated templates. Manage regulatory procedures with DIAN, INVIMA, Supersociedades, and the Chamber of Commerce. Support corporate governance documentation and company structure updates. Assist Compliance with due diligence processes. Provide basic legal support to internal areas (Commercial, Logistics, Medical, Marketing).
